In brief

KKR acquired a majority stake in CoolIT Systems on 30 June 2023 (signed 1 May 2023, closed 30 June 2023) at a reported base purchase price of approximately $270M (plus up to $35M in earnout), through KKR Global Impact Fund II, with Mubadala co-investing (through a wholly owned subsidiary of Mubadala Investment Company PJSC) for approximately 24.4% of the equity at close. The transaction's enterprise-value bridge (debt, cash, contingent consideration) has not been independently documented, so this is the reported purchase price rather than a verified EV. On 2 July 2026 Ecolab closed its acquisition of CoolIT at approximately $4.75B, equivalent to 29x next-twelve-month (NTM) and 24x 2027 adjusted EBITDA on roughly $550M of forward revenue. The acquisition was signed on 1 May 2023 and closed on 30 June 2023; Ecolab closed the exit on 2 July 2026, giving a holding period of approximately 36 months. KKR disclosed an approximately 15x gross money multiple on the equity invested, inclusive of distributions. A 15x gross equity multiple over a roughly three-year hold is an exceptional outcome. Public disclosures do not provide a sufficiently comparable industrial private-equity return distribution to benchmark it more precisely.

The CoolIT trade is a playbook with conditions for industrial sponsors holding cooling-adjacent assets. The playbook does not simply replicate at 2026 pricing. KKR acquired a hyperscale-exposed cooling specialist in the first half of 2023, inside the post-ChatGPT capex inflection but ahead of the full Blackwell density ramp, and exited to a strategic buyer paying for integration platform rather than for the EBITDA stream alone. Ecolab's logic is a water-and-chemistry franchise (Nalco) extending into AI thermal services, with CoolIT as the hardware anchor and the broader Global High Tech segment including Ovivo as the growth vehicle. The strategic rationale, as described by Ecolab, includes CoolIT's established engineering relationships, hyperscaler deployments and (per the 2 July 2026 closing announcement) collaboration with NVIDIA on coolant qualification, coolant health monitoring and cooling infrastructure development, alongside Ecolab's capability to integrate hardware with chemistry and digital service. These capabilities may help explain the premium Ecolab paid; the primary disclosures do not quantify which factors contributed in what proportion.

For allocators the question is who else can run the same play. Remaining independents (Submer, Iceotope, GRC, Chilldyne, Dynalene, Engineered Fluids, and the Taiwanese thermal ODMs) are screening candidates for the next cohort of strategic bids, though the valuations private cooling franchises can realistically clear are a function of entry price plus operating step-up plus exit conditions, not simply a 29x NTM EBITDA comparable. The missed-the-Boyd and missed-the-CoolIT buyers (Dover, Parker Hannifin, Johnson Controls, Honeywell, Carrier) are the natural pursuers; Trane has already moved by closing LiquidStack in March 2026.
