Glossary of acronyms used across the corpus

Deal structure and finance
- AFFO
- Adjusted Funds From Operations. REIT-industry cash-flow metric, roughly operating cash flow minus recurring maintenance capex.
- CIM
- Confidential Information Memorandum. The marketing document seller-side advisors prepare for prospective buyers, presenting revenue, EBITDA, growth story, and rationale for sale.
- CoC
- Change of Control. Contractual clauses that trigger renegotiation, consent requirement, or termination when a counterparty is acquired or its ownership changes.
- DCF
- Discounted Cash Flow. Valuation method that discounts projected cash flows back to present value using a required return rate.
- DD
- Due Diligence. The workstream discipline of testing a target's claims before committing to a transaction.
- EBITDA
- Earnings Before Interest, Tax, Depreciation, and Amortisation. The most commonly referenced operating-earnings metric in M&A pricing.
- EV
- Enterprise Value. Purchase price plus debt assumed minus cash. Total value of the business excluding capital structure.
- IC
- Investment Committee. The decision-making body inside a PE firm or investor that approves or rejects a proposed transaction.
- IPO
- Initial Public Offering. A private company's first sale of shares to the public market.
- JV
- Joint Venture. Business arrangement where two or more parties pool resources for a specific project, with separate governance and defined economic sharing.
- LBO
- Leveraged Buyout. Acquisition financed primarily with debt secured against the target's own cash flows.
- LOI
- Letter of Intent. Non-binding document expressing a party's intention to enter a transaction on outlined terms.
- LP
- Limited Partner. Investor in a PE or infrastructure fund who commits capital but does not manage day-to-day investment decisions.
- MOIC
- Multiple On Invested Capital. Fund-return metric: total distributions divided by capital invested.
- NDA
- Non-Disclosure Agreement. Signed before sharing confidential deal information with a prospective buyer or advisor.
- PortCo
- Portfolio Company. A company owned by a PE fund as part of its investment portfolio.
- QoE
- Quality of Earnings. DD workstream that normalises reported EBITDA by reclassifying add-backs and adjusting for one-time items.
- R&W
- Representations and Warranties. Seller statements about the target's condition. R&W insurance covers buyer's post-close claims arising from breaches.
- SPA
- Sale and Purchase Agreement. The binding legal contract that closes a transaction.
- SPV
- Special Purpose Vehicle. A legal entity created for a specific transaction or asset, ring-fenced from the parent's other operations.
Regulatory and jurisdictional
- CFIUS
- Committee on Foreign Investment in the United States. US inter-agency review body that screens foreign acquisitions of US businesses for national security implications.
- EU FDI
- European Union Foreign Direct Investment screening. Country-specific regulatory regimes reviewing foreign acquisitions of critical assets.
- HSR
- Hart-Scott-Rodino Antitrust Improvements Act. US merger notification threshold and review regime.
- NSI Act
- National Security and Investment Act. UK regime for reviewing acquisitions in 17 sensitive sectors on national security grounds.
- NRC
- Nuclear Regulatory Commission. US federal agency regulating civilian use of nuclear materials and facilities.
- OFAC
- Office of Foreign Assets Control. US Treasury body enforcing economic sanctions.
Power, grid, and utility
- AEP
- American Electric Power. Investor-owned utility operating in 11 US states including Ohio.
- BTM
- Behind-the-Meter. Power generation located on the customer side of the utility meter, not going through the public grid.
- CAISO
- California Independent System Operator. The grid operator for most of California.
- ERCOT
- Electric Reliability Council of Texas. Grid operator for most of Texas, operating largely as an electrical island.
- GW
- Gigawatt. One thousand megawatts of electrical power.
- HVDC
- High-Voltage Direct Current. DC transmission at hundreds of kilovolts, used for long-distance and undersea power transmission.
- ISA
- Interconnection Service Agreement. Contract between a load or generation customer and the transmission owner authorising a specific connection.
- ISO
- Independent System Operator. Regional grid operator (e.g. ERCOT, MISO, PJM, CAISO). Manages transmission access and wholesale market operations.
- IT-GW
- IT Gigawatt. Unit measuring data centre compute capacity as the power delivered to IT equipment, distinct from total site power supply.
- LTLLR
- Long-Term Large Load Response. PJM analytical framework for planning against very large new loads (typically data centres).
- MISO
- Midcontinent Independent System Operator. Regional grid operator covering 15 US states and Manitoba.
- MV
- Medium Voltage. Typically defined as 1 kV to 35 kV. The voltage class connecting data centre power distribution to the utility grid.
- MVA
- Mega-Volt Amperes. Apparent power rating unit used for transformers and switchgear.
- MW
- Megawatt. Unit of electrical power. A large modern data centre draws tens to hundreds of MW.
- MWh
- Megawatt-hour. Unit of electrical energy. One MW delivered for one hour.
- OCP
- Open Compute Project. Hyperscaler-led standards body developing open reference designs for data centre hardware.
- PJM
- PJM Interconnection LLC. Regional grid operator covering 13 US states plus DC. Includes Ohio, where the NVIDIA/OpenAI campus sits.
- PPA
- Power Purchase Agreement. Long-term contract locking in electricity price per MWh over a defined term.
- PUE
- Power Usage Effectiveness. Data centre efficiency metric. Total facility power divided by IT equipment power. Lower is better.
- SMR
- Small Modular Reactor. Nuclear reactor design with output typically below 300 MWe, envisioned for co-located generation.
- TSO
- Transmission System Operator. Term used in Europe for the entity operating the high-voltage transmission grid.
Semiconductor and technical
- AI
- Artificial Intelligence. Used throughout to reference the demand driver behind the buildout.
- DC
- Direct Current. Also, ambiguously, "Data Centre". Context usually disambiguates.
- GPU
- Graphics Processing Unit. The compute silicon at the centre of AI workloads.
- HBM
- High Bandwidth Memory. Stacked memory technology used adjacent to AI GPUs.
- HSC
- Hybrid Supercapacitor. Energy storage technology bridging batteries and traditional capacitors.
- IVR
- Integrated Voltage Regulator. On-package power delivery component for modern CPUs and GPUs.
- SiC
- Silicon Carbide. Wide-bandgap semiconductor material used in high-voltage power electronics.
- GaN
- Gallium Nitride. Wide-bandgap semiconductor material used in RF and power applications.
- WBG
- Wide-Bandgap. Semiconductor material class (SiC and GaN) used in high-efficiency power electronics.
- VDC
- Volts Direct Current. Used in 48 VDC and 800 VDC references to rack-level and datacentre power distribution.
Notation and conventions. Numbers in essays follow the convention that MW and GW refer to electrical power capacity, while IT-GW refers to compute capacity (the power delivered to IT equipment inside a data centre, always smaller than total site power because of cooling, distribution, and infrastructure losses). Where an essay is ambiguous, the acronym has been marked with an abbr tag that shows the definition on hover.
